Rule 144A

Trading Term

A SEC rule designed to create a more liquid investment market by permitting sales of restricted securities to sophisticate investors without being subject to the conditions of Rule 144. The securities offered must be equity or debt securities and may be offered by either a domestic or foreign issuer. After the issuance, the securities may be immediately resold to a qualified institutional buyer.
